Terms & Conditions

1. General

These Terms and Conditions apply to all products, software licences, and bespoke development services supplied by PeachWorx Limited (registered in Cyprus). By placing an order or making a purchase you agree to be bound by these terms.

PeachWorx Limited reserves the right to update these terms at any time. The version in force at the time of your order shall apply.

2. Payment

All software licences are payable in full at the time of purchase.

All bespoke development work is payable 100% upfront prior to commencement. Development will not begin until cleared funds have been received.

Where staged payment terms are agreed in writing, development will commence in line with the agreed schedule following receipt of the initial payment.

Prices are displayed exclusive of any applicable taxes unless otherwise stated.

3. Digital Goods & Refunds

All software licences and digital products supplied by PeachWorx Limited are non-refundable once delivered. Delivery is deemed complete upon the licence key or download link being sent to the email address provided at the time of purchase.

Where a product is trialled prior to purchase, the customer is deemed to have accepted the product as fit for purpose upon placing an order.

PeachWorx Limited does not accept returns or provide refunds on the basis of change of mind after delivery has occurred.

4. Bespoke Development

Bespoke development work is carried out to the agreed scope and specification. Any changes to the agreed scope may result in additional charges which will be agreed in writing before work proceeds.

Time is not of the essence in relation to delivery of bespoke development work. Estimated delivery timescales are indicative only and do not form part of the contract.

All intellectual property in software, code, and deliverables produced by PeachWorx Limited remains the property of PeachWorx Limited unless expressly agreed otherwise in writing. The customer receives a perpetual licence to use the resulting functionality.

5. Liability

PeachWorx Limited's total liability in connection with any order shall not exceed the value of that order.

PeachWorx Limited shall not be liable for any indirect, consequential, or special loss arising from the use of or inability to use its products or services, including but not limited to loss of data, loss of revenue, or loss of business.

Software is provided on an 'as is' basis. PeachWorx Limited does not warrant that software will be free from errors or interruptions, or that it will meet any particular requirement beyond what is described in the product documentation.

6. Intellectual Property

All software, code, documentation, and associated materials supplied by PeachWorx Limited remain the intellectual property of PeachWorx Limited.

The customer is granted a non-exclusive, non-transferable licence to use the software in accordance with the licence terms applicable to their purchase.

The customer may not copy, modify, distribute, sell, or reverse engineer any software supplied by PeachWorx Limited without prior written consent.

7. Licence Terms

Software licences are issued per site or per organisation as specified at the time of purchase. Licences may not be transferred to a third party without prior written consent from PeachWorx Limited.

PeachWorx Limited reserves the right to revoke a licence in the event of non-payment, breach of these terms, or misuse of the software.

Lifetime licences entitle the customer to use the version of the software current at the time of purchase. Access to future updates and support may require a separate support and maintenance agreement.

8. Support & Updates

Support and software updates are provided at the discretion of PeachWorx Limited and may be subject to a separate support agreement.

PeachWorx Limited reserves the right to incorporate any enhancements or features developed for individual customers into the standard product offering.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Cyprus. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Cyprus.

For customers based in the United Kingdom, PeachWorx Limited reserves the right to elect English law and the jurisdiction of the English courts.
